Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and NexUtility ("NexUtility", "we", "us") and govern your use of this website and any mobile application we publish on the Apple App Store or Google Play Store (the "Services"). These Terms incorporate our Privacy Policy.

1. Acceptance

By installing, accessing, or using any of the Services you agree to these Terms. If you do not agree, do not install or use the Services.

2. Eligibility

You must be at least 13 years old (or the higher minimum age required by your country) to use the Services. If you are under the age of majority, you may use the Services only with the consent of a parent or guardian who accepts these Terms on your behalf.

3. License

Subject to these Terms, NexUtility grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Services for your personal, non-commercial purposes. You may not copy, modify, redistribute, reverse engineer, decompile, or attempt to extract the source code of our apps except as expressly permitted by law.

4. Accounts

Most of our apps work without an account. If an app offers an account, you are responsible for keeping your credentials secret and for activity that occurs under your account. Tell us at support@nexutility.dev immediately if you suspect unauthorized access.

5. Subscriptions, billing & refunds

Some of our apps offer optional subscriptions or one-time purchases.

  • Billing. All purchases are processed by Apple (App Store) or Google (Play Store). NexUtility never receives or stores your payment card details.
  • Auto-renewal. Subscriptions automatically renew at the end of each period at the then-current price unless cancelled at least 24 hours before the end of the current period.
  • Free trials. Where a free trial is offered, it converts to a paid subscription unless cancelled before the trial ends.
  • Cancellation. You can cancel any time from your App Store or Google Play account settings. Cancellation stops future renewals and takes effect at the end of the current period.
  • Restore purchases. If you reinstall an app or switch devices, use the in-app "Restore purchases" option to re-enable an active subscription.
  • Refunds. Refunds are handled by Apple and Google according to their policies. We can help you find the right form at /support.

Subscription entitlements are managed by RevenueCat on our behalf. The Apple Standard EULA does not apply where these Terms differ; in case of conflict between these Terms and the Apple Standard EULA, these Terms prevail to the maximum extent permitted by Apple's Licensed Application End User License Agreement.

6. Advertising

Some of our apps are supported by advertising delivered through Google AdMob. By using an ad-supported app you agree to receive ads. Where required by law or by Apple's App Tracking Transparency framework, we will ask for your consent before running personalized ads. If you decline, you will continue to see non-personalized ads.

7. Your content

You retain ownership of any content you create inside our apps ("User Content"). User Content is stored on your device by default. If an app provides cloud sync, you grant us a worldwide, non-exclusive, royalty-free license to host, transmit, and display that User Content solely to provide the sync feature to you. You are responsible for the content you create.

8. Acceptable use

You agree not to:

  • Use the Services in violation of any applicable law.
  • Reverse engineer, tamper with, or interfere with the Services.
  • Use automated means to scrape, copy, or overload the Services.
  • Attempt to circumvent ads, paywalls, license checks, or rate limits.
  • Use the Services to infringe anyone else's rights.

9. Intellectual property

The Services, including their look-and-feel, source code, graphics, and "NexUtility" trademarks, are owned by NexUtility and its licensors and are protected by copyright, trademark, and other intellectual property laws. No rights are granted to you other than those expressly stated in these Terms.

10. Third-party services

The Services rely on third-party services (App Store, Play Store, Cloudflare, Google AdMob, RevenueCat). Your use of those services is subject to their own terms. We are not responsible for outages or actions of third-party services.

11. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUTILITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 50, WHICHEVER IS GREATER.

13. Indemnity

You agree to indemnify and hold harmless NexUtility against any claims arising from (a) your misuse of the Services, (b) your violation of these Terms, or (c) your violation of any third-party rights.

14. Termination

You may stop using the Services at any time by uninstalling the app. We may suspend or terminate your access if you breach these Terms or use the Services in a way that endangers other users or our business. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnity, governing law) survive.

15. Governing law and disputes

These Terms are governed by the laws of [Your jurisdiction], without regard to conflicts-of-law rules. Any dispute will be resolved in the courts of [Your venue], except where mandatory consumer-protection law in your country grants you a different forum. Nothing in these Terms limits your statutory consumer rights.

16. Changes

We may update these Terms occasionally. The "Last updated" date at the top will reflect the most recent revision. If a change is material, we will notify you in the affected app or via email. Continued use of the Services after changes take effect constitutes acceptance.
